19. THIRD PARTY BENEFICIARIES. Nothing contained in this Agreement shall be deemed, construed or represented by the CITY or CONSULTANT to any third person to create the relationship of principal or agent, or of a partnership, or of a joint venture, or of any other association of any kind or nature between the CITY and CONSUTLANT other than attorney and client. 20. JURISDICTION AND VENUE. Any action at law or in equity brought by either of the Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 21. INTERPRETATION. Should interpretation of this Agreement, or any portion thereof, be necessary, it is deemed that this Agreement was prepared by the parties jointly and equally, and shall not be interpreted against either party on the ground that the party prepared the Agreement or caused it to be prepared. 22. WAIVER. No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any such waiver constitute a continuing or subsequent waiver of the same provision. No waiver shall be binding, unless executed in writing by the party making the waiver. 23. ENTIRE AGREEMENT. This Agreement contains the entire agreement between the parties hereto. No promise, representation, warranty, or covenant not included in the Agreement has been or is relied upon by any party hereto. 24. CONSULTANT'S FUTURE EMPLOYMENT AS HEARING OFFICER. This AGREEMENT is non-renewable and CONSULTANT shall not be eligible to serve as a hearing officer in any capacity for the CITY for a period of two (2) years from the date that CONSULTANT issues its final decision in the WORK (defined in Section 1).
