14. INDEMNIFICATION. To the fullest extent permitted by law, Consultant shall indemnify and hold harmless CITY, its officers, employees and agents against any claim, loss or liability arising out of or resulting in any way from the Work as defined in section 1 performed under this Agreement due to the willful or negligent acts (active or passive) or omissions, as established by a Court of competent jurisdiction, by Consultant or Consultant officers, employees or agents and against and all costs, attorney's fees, expenses and liabilities related to any claim or any action or proceeding brought within the scope of this indemnification. The acceptance of said services and duties by CITY shall not operate as a waiver of such right of indemnification. Specifically excluded from this indemnification and hold harmless is any hold harmless and indemnification obligation for any claim from other than the Work as defined in section 1. The City has no liability or responsibility for any accident, loss, or damage to any work performed under this Agreement whether prior to its completion and acceptance or otherwise. 15. INDEPENDENT CONTRACTOR. CONSULTANT will perform the WORK in CONSULTANT'S own way and as an independent contractor retained by CITY to perform the work described herein. All personnel employed by CONSULTANT, including subcontractors and personnel of said subcontractors approved by CITY, are not and shall not be deemed to be employees of CITY. The payment made to CONSULTANT pursuant to the Agreement will be the full and complete compensation to which CONSULTANT is entitled. CITY will not make any federal or state tax withholdings on behalf of CONSULTANT or its agents, employees or subcontractors. CITY will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of CONSULTANT or its employees or subcontractors. CONSULTANT and approved subcontractors shall comply with all State and Federal laws pertaining to employment and compensation of their employees or agents, including the provision of Workers' Compensation.
