... ..~...~~~.._- ORIGINAL AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR MAINTENANCE SERVICES UTILITY SYSTEMS PUMP REPAIR (PUMP REPAIR SERVICE COMPANY) ~ Amendment No.1 is entered into and effective as of the b/!Í day of ~ , 2005, amending the agreement dated October 29, 2004 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and PUMP REPAIR SERVICES COMPANY ("Consultant") (collectively, the "Parties") for professional service and advice related to the repair and purchase of utility system pumps for the water utility and the storm sewer utility pumps and pump stations. RECITALS A. The Parties desire to continue the Agreement's scope of work and apply maintenance, repairing and reconditioning services to water utility and storm sewer utility systems pumps, at pump station location identified by the City B. The Parties have negotiated and agreed to a scope of work and fee schedule, which are attached to and incorporated in by this reference as Exhibit "A-1," Scope of Services and Exhibit "B-1," Fees for labor and Materials. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. That the Agreement, as may have been amended from time to time, is hereby extended for a period ending on June 30, 2006 and Consultant will be paid a not to exceed amount of One Hundred Fifty-Two Thousand Four Hundred Eighty and 00/100 dollars ($152,480). 2. City will pay Consultant for all work associated with those services in accordance with the fee schedule described in Exhibit "B-1" on a time and materials basis not-to-exceed Two Hundred Ten Thousand Six Hundred Ninety and 00/100 dollars ($210,690) through the term of the original Agreement and its Amendments. Consultant will provide City, on a monthly basis, original invoices sufficiently detailed to include hours performed, hourly rates, materials and parts unit prices with quantities, and related activities and costs for approval by City. 3. Consultant will complete all work described in Exhibit "A-1" by June 30, 2006. 4. The Consultant shall perform services for pumps at pump station locations to be identified by the City. 5. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect.
