<br />... ..~...~~~.._- <br /> <br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />MAINTENANCE SERVICES UTILITY SYSTEMS PUMP REPAIR <br /> <br />(PUMP REPAIR SERVICE COMPANY) <br /> <br />~ Amendment No.1 is entered into and effective as of the b/!Í day of <br />~ , 2005, amending the agreement dated October 29, 2004 <br />(the "Agreement") by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and PUMP REPAIR SERVICES <br />COMPANY ("Consultant") (collectively, the "Parties") for professional service and advice <br />related to the repair and purchase of utility system pumps for the water utility and the <br />storm sewer utility pumps and pump stations. <br /> <br />RECITALS <br /> <br />A. The Parties desire to continue the Agreement's scope of work and apply <br />maintenance, repairing and reconditioning services to water utility and storm sewer <br />utility systems pumps, at pump station location identified by the City <br /> <br />B. The Parties have negotiated and agreed to a scope of work and fee <br />schedule, which are attached to and incorporated in by this reference as Exhibit "A-1," <br />Scope of Services and Exhibit "B-1," Fees for labor and Materials. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period ending on June 30, 2006 and Consultant will be paid a not <br />to exceed amount of One Hundred Fifty-Two Thousand Four Hundred Eighty and <br />00/100 dollars ($152,480). <br /> <br />2. City will pay Consultant for all work associated with those services in <br />accordance with the fee schedule described in Exhibit "B-1" on a time and materials <br />basis not-to-exceed Two Hundred Ten Thousand Six Hundred Ninety and 00/100 dollars <br />($210,690) through the term of the original Agreement and its Amendments. Consultant <br />will provide City, on a monthly basis, original invoices sufficiently detailed to include <br />hours performed, hourly rates, materials and parts unit prices with quantities, and <br />related activities and costs for approval by City. <br /> <br />3. <br /> <br />Consultant will complete all work described in Exhibit "A-1" by June 30, <br /> <br />2006. <br /> <br />4. The Consultant shall perform services for pumps at pump station locations <br />to be identified by the City. <br /> <br />5.
