<br />estimated cost to construct Shannon Park is Two Hundred Ninety-Five Thousand <br />Five Hundred Ninety-Four and no/100 Dollars ($295,594.00). <br /> 3. Issuance of BuildinCl Permits. City will not issue more than fifty <br />percent (50%) of the building permits to be issued within Ventana Del Mar - <br />Phase II prior to Reimbursement. <br /> 4. Conformance with Law. This Agreement shall be interpreted in all <br />respects to conform with applicable law, and the provisions hereof shall be <br />interpreted to give legal effect to such provisions to the fullest extent consistent <br />therewith. The laws of the State of California shall govern the interpretation, <br />performance under, and execution of, this Agreement. <br /> 5. Entire AQreement. This Agreement embodies the entire agreement <br /> .. <br />and understanding, and supersedes all prior agreements and understandings, <br />whether written or oral, between the parties with respect to the subject matter <br />hereof except for the Conditions of approval of the Tentative Map which, other <br />than as specifically modified herein, will remain in full force and effect. <br /> 6. Severabilitv . If anyone or more of the provisions contained in this <br />Agreement is for any reason held to be invalid, illegal, or unenforceable in any <br />respect, such invalidity, illegality, or unenforceability shall not affect any other <br />provisions of this Agreement and this Agreement shall be construed as if such <br />invalid, illegal, or unenforceable provision had never been contained herein. <br /> 7. Successors.
