Access to and Ownership of Records 1. All documents, materials, reports, claims and other written, photographed or electronic records provided to the Contract Administrator by the Employer or produced by the Contract Administrator in connection with its duties under this Agreement shall be maintained as confidential by the Contract Administrator, except when disclosure is authorized by the Employer, or Plan Participant, or is necessary to perform the obligations of the Contract Administrator under this Agreement. All such documents and materials shall be owned by the Employer and, upon expiration or termination of this agreement, shall be returned to the Employer. 2. The Employer shall furnish The Contract Administrator, on request, with all correct and complete information required by the Contract Administrator to provide the services which the Contract Administrator has agreed to perform under this Agreement, including, but not limited to, a copy of the Plan and any amendments thereto. The information shall be furnished at the times and in such manner as the Contract Administrator may request. The Contract Administrator shall assume that all such information is complete and accurate and shall be under no duty to question the accuracy of such information. 3. The Employer, at their cost, may request an audit of the Contract Administrator's records with reasonable notice. Authority to Control and Manage the Plan The Employer acknowledges that they have sole authority to control and manage the operation of the Plan. It is expressly agreed that under no circumstances shall The Contract Administrator be designated as plan administrator or fiduciary of the Plan. Nothing herein shall be deemed to constitute the Contract Administrator as a party to the Plan or to confer upon the Contract Administrator any authority or control respecting management of the Plan, authority or responsibility in connection with administration of the Plan or responsibility for the terms or validity of the Plan. The Contract Administrator shall at no time be responsible for any tax liability which may be imposed upon the Plan, the Employer, any fiduciary or any employee under the Plan. ~ 1 zOO 1 Term of Agreement .. The Contract Administrator shall notify the Employer of any pro osed change in fees not less than ninety (90) days prior to the renewal of this Agreement.
