<br />because of legislative, regulatory or other legal requirements do <br />not require the consent of Employer or OHS, and will be effective on <br />the date such law is applicable to this Agreement. Modification of <br />any provision of this Agreement to conform to any objection or <br />concern of the Department of Corporations or other legal requirement <br />shall not invalidate or alter any non-objectable provisions but <br />shall rise at Employer's option to termination rights of Employer. <br /> <br />F. Acceptance of Agreement <br /> <br />Members, and Employer on behalf of Members, accept this Agreement by <br />making payment to OHS, and such acceptance renders all terms and <br />provisions hereof binding on Employer and Members. <br /> <br />G. Agreement Binding on Members <br /> <br />By this Agreement, Employer makes OHS coverage available to persons <br />who are eligible and enrolled in accordance with Addendum One. <br />However, this Agreement is subject to amendment, modification or <br />termination by Employer and OHS, and, with respect to any Member, by <br />mutual agreement between OHS and any Subscriber without the consent <br />or concurrence of any of his or her Family Members. By electing <br />coverage or accepting benefits hereunder, all Members agree to all <br />terms, conditions and provisions hereof. <br /> <br />H. Administration of plan <br /> <br />OHS may, with Employer's approval, adopt reasonable policies, <br />procedures, rules and interpretations to promote orderly and <br />efficient administration of this plan. <br /> <br />I. Regulation <br /> <br />OHS is subject to regulation by the California Department of <br />Corporations and this Agreement is subject to the requirements of <br />the Knox-Keene Health Care Service Plan Act of 1975 (the "Act", <br />commencing with Section 1340 of the California Health and Safety <br />Code) and the regulations promulgated thereunder (found at Chapter 3 <br />of Title 10 of the California Code of Regulations). Any provision <br />required to be in this Agreement by either of these sources of law <br />shall bind the parties whether or not provided hereunder. <br /> <br />J. Force Majeure <br /> <br />1. Major Disaster or Epidemic. In the event of any major <br />disaster or epidemic, Participating Providers shall render or <br />attempt to arrange for the provision of Covered Services insofar as <br />practical, according to their best judgment, within the limitations <br />of such facilities and personnel as are then available, but neither <br />OHS nor Participating Providers have any liability or obligation for <br /> <br /> <br />- 6 - <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br />-""-.-< -'r--- -"" <br />
