because of legislative, regulatory or other legal requirements do not require the consent of Employer or OHS, and will be effective on the date such law is applicable to this Agreement. Modification of any provision of this Agreement to conform to any objection or concern of the Department of Corporations or other legal requirement shall not invalidate or alter any non-objectable provisions but shall rise at Employer's option to termination rights of Employer. F. Acceptance of Agreement Members, and Employer on behalf of Members, accept this Agreement by making payment to OHS, and such acceptance renders all terms and provisions hereof binding on Employer and Members. G. Agreement Binding on Members By this Agreement, Employer makes OHS coverage available to persons who are eligible and enrolled in accordance with Addendum One. However, this Agreement is subject to amendment, modification or termination by Employer and OHS, and, with respect to any Member, by mutual agreement between OHS and any Subscriber without the consent or concurrence of any of his or her Family Members. By electing coverage or accepting benefits hereunder, all Members agree to all terms, conditions and provisions hereof. H. Administration of plan OHS may, with Employer's approval, adopt reasonable policies, procedures, rules and interpretations to promote orderly and efficient administration of this plan. I. Regulation OHS is subject to regulation by the California Department of Corporations and this Agreement is subject to the requirements of the Knox-Keene Health Care Service Plan Act of 1975 (the "Act", commencing with Section 1340 of the California Health and Safety Code) and the regulations promulgated thereunder (found at Chapter 3 of Title 10 of the California Code of Regulations). Any provision required to be in this Agreement by either of these sources of law shall bind the parties whether or not provided hereunder. J. Force Majeure 1. Major Disaster or Epidemic. In the event of any major disaster or epidemic, Participating Providers shall render or attempt to arrange for the provision of Covered Services insofar as practical, according to their best judgment, within the limitations of such facilities and personnel as are then available, but neither OHS nor Participating Providers have any liability or obligation for - 6 - -""-.-< -'r--- -""
