Unless otherwise set forth in this Agreement, the total price set forth <br />in Exhibit A will be considered to include state and city sales or use tax. <br />15. Licenses. Contractor will obtain and maintain a City of Redwood City Business <br />License for the term of the Agreement, as may be amended from time -to -time. If a license <br />of any kind, which term is intended to include evidence of registration, is required of <br />Contractor, its employees, agents or subcontractors by federal or state law, Contractor <br />warrants that such license has been obtained, is valid and in good standing, and <br />Contractor shall keep it in effect at all times during the term of this Agreement, and that <br />any applicable bond has been posted in accordance with all applicable laws and <br />regulations. <br />16. Notices. Each party will <br />notify the other immediately of any changes of address that would require any notice or <br />delivery to be directed to another address. <br />17. Discrimination and Harassment Prohibited. Contractor will comply with all <br />applicable local, state and federal laws and regulations prohibiting discrimination and <br />harassment. <br />18. Termination. In the event of the Contractor's failure to prosecute, deliver, or <br />perform the Services, City may terminate this Agreement for nonperformance by notifying <br />Contractor in writing pursuant to the notice provisions of this Agreement. <br />If City decides to abandon or postpone the work or services contemplated by this <br />Agreement, City may terminate this Agreement upon written notice to Contractor pursuant <br />to the notice provisions of this Agreement. Termination will be effective immediately upon <br />notification. <br />19. Covenants against Contingent Fees. Contractor warrants that Contractor has not <br />employed or retained any company or person, other than a bona fide employee working <br />for Contractor, to solicit or secure this Agreement, and that Contractor has not paid or <br />agreed to pay any company or person, other than a bona fide employee, any fee, <br />commission, percentage, brokerage fee, gift, or any other consideration contingent upon, <br />ATTY/AGR/2017.157/CODA TECHNOLOGY GROUP <br />REV: 07-07-17 JS <br />Page 8 of 10 <br />
