1.1.3 subject to the terms and conditions of this License, Licensor hereby grants <br />to Licensee a non-exclusive license to those certain spaces designated for non-exclusive foot and <br />vehicular access via the access road off California Way from the edge of the Property to the <br />Equipment Area for construction and maintenance of the Premises and the Facilities (hereinafter <br />referred to as the "Access Area") as depicted in Exhibit "B". <br />1.2 Licensee shall be responsible for obtaining at its sole cost and expense, any <br />easements, rights of way or other authorizations that may be required from owners of private <br />property adjoining the Property in order to access the Property for the purposes of this License. <br />1.3 Subject to the terms and conditions of this License, Licensor grants an exclusive <br />license to Licensee for use of the Premises, at Licensee's sole cost and expense, for (i) the <br />transmission and reception of communication signals (a) duly authorized by the Federal <br />Communications Commission ("FCC") to Licensee or an Affiliate (as defined in Section 4.1 <br />below) of Licensee as of the Effective Date or during the Term, or (b) which Licensee does not <br />require a license from the FCC to transmit or receive, and which communication signals Licensee <br />is permitted to transmit and receive in accordance with all applicable laws, (ii) the construction, <br />maintenance, repair, operation, and replacement of its communications fixtures, Tower, related <br />antennas, equipment, cables, facilities and all improvements related thereto on the Premises, as <br />further described in Exhibit `B" (hereinafter collectively to be referred to as "Facilities"), and <br />(iii) activities related to any of the foregoing, provided such activities do not require an expansion <br />of the Premises or Facilities or violate Licensee's duties set forth herein, including, without <br />limitation, the right to test, survey the Premises and review title on the Property; the right but not <br />the obligation to add, modify and/or replace equipment in order to be in compliance with any <br />current or future federal, state or local mandated application, including, but not limited to, <br />emergency 911 communication services, at no additional cost to Licensor ("Permitted Use"). <br />1.4 Licensee shall not use the Premises for any purpose not expressly permitted <br />hereunder. Licensee shall not (a) create, cause, maintain or permit any nuisance in, on or about the <br />Premises or permit or suffer the Premises to be used for any unlawful purpose, or (b) do or permit <br />to be done anything in any manner which creates a nuisance to the occupants of neighboring <br />property, or (c) interferes with or disturbs in any way (1) the operations of Licensor on the <br />Property, including operation of Licensor's system or tank site, radio communication system <br />linked to telemetry controls at various tank and pumping facilities, or (2) subject to the terms of <br />Section 5 of this License, the use of the Property by other licensees. <br />1.5 Licensee shall, at Licensee's expense, keep and maintain the Premises in reasonable <br />condition and repair during the Tenn. Licensee shall be responsible for maintenance of the <br />Premises. <br />1.6 Licensee shall install and operate the Facilities in a good and workmanlike manner <br />that shall at all times be in compliance with all applicable federal, state and local laws, rules and <br />regulations (collectively, "Laws"). <br />1.7 Licensee shall not place any signs upon the Premises without the prior written <br />consent of the Licensor, except as provided in Section 20.1. <br />(VV,40 Page 2 of 35 <br />ATTY/AGR/2017.039/SPRINT LEASE AGREEMENT <br />REV: 05-12-17 JS <br />Li <br />
