<br />Page 19 <br />this Agreement. Either party may change its address by notifying the other party of the change of <br />address. Notice shall be deemed communicated within 48 hours from the time of mailing if mailed <br />as provided in this Section. <br />19. LIENS. City shall keep the HSA/Library Building and County Parcel free from any liens arising <br />out of the work performed, materials furnished or obligations incurred by City. <br />20. SEVERABILITY. This Agreement shall be construed in accordance with the laws of the State <br />of California. If any clause or provision of this Agreement is illegal, invalid, or unenforceable, under <br />present or future laws effective during the term hereof, then it is the intention of the parties hereto <br />that the remainder of this Agreement shall not be affected thereby, and it is also the intention of both <br />parties that in lieu of each clause or provision that is illegal, invalid, or unenforceable, there be added <br />as part of this Agreement a clause or provision as similar in terms to such illegal, invalid, or <br />unenforceable clause or provision to make such illegal, invalid, or unenforceable clause or provision <br />enforceable. <br />21, FORCE MAJEURE. County shall not be chargeable with, or liable to, City for anything or in any <br />amount for any failure to perform or delay caused by: fire, earthquake, explosion, flood, hurricane, <br />the elements, Acts of God or the public enemy, actions, restriction, limitations or interference of <br />governmental authorities or agents; enforcement of applicable law; war; invasion; insurrection; <br />rebellion; riots; strikes or lockouts; inability to perform, control or prevent which is beyond the <br />reasonable control of County; and any such failure or delay due to said causes or any of them shall <br />not be deemed a breach of or default in the performance of this Agreement by County, <br />22. SAN MATEO COUNTY NO SMOKING ORDINANCE. City is aware that the County of San Mateo <br />has adopted an Ordinance (No. 03239) which prohibits smoking in all County facilities whether <br />owned or leased. City understands that said Ordinance authorizes County to enforce the provisions <br />contained therein and City agrees to comply with the provisions of said ordinance. <br />23. ENTIRE AGREEMENT. The foregoing constitutes the entire agreement between the parties and <br />may be modified only by a writing executed by County's Board of Supervisors and City's City <br />Council. <br />Rwe HSA/Library Agreement - Part IV <br />....----.... <br />
