07/24/2017 <br />RESOLUTION NO. 15611 <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDWOOD <br />CITY APPROVING THE ISSUANCE OF THE CALIFORNIA PUBLIC <br />FINANCE AUTHORITY REVENUE NOTES (VERITY HEALTH SYSTEM), <br />SERIES 2017, IN ONE OR MORE SERIES IN AN AGGREGATE <br />PRINCIPAL AMOUNT NOT TO EXCEED $25,000,000, FOR THE <br />PURPOSE OF FINANCING WORKING CAPITAL FOR THE <br />OPERATIONS OF VERITY HEALTH SYSTEM AND ITS AFFILIATES <br />AND SUBSIDIARIES AND CERTAIN OTHER MATTERS RELATING <br />THERETO <br />WHEREAS, Verity Health System of California, Inc., a California nonprofit <br />corporation and an organization described in Section 501(c)(3) of the Internal Revenue <br />Code of 1986, as amended (the "Corporation"), has requested that the California Public <br />Finance Authority (the "Authority") participate in the issuance of one or more series of <br />revenue bonds or notes in an aggregate principal amount not to exceed $25,000,000 (the <br />"Bonds") to finance working capital for the operations of the Corporation and to pay certain <br />issuance costs related to the Bonds; and <br />WHEREAS, the proceeds of the Bonds will be used to pay certain expenses <br />incurred in connection with the issuance of the Bonds, and to finance working capital for <br />operations of the Corporation, its affiliates and subsidiaries, to be expended at one or <br />more facilities located at the following addresses: <br />• 203 Redwood Shores Parkway, Redwood City, CA 94065 <br />• 2131 W. 3rd St, Los Angeles, CA 90057 <br />• 2105 Forest Ave, San Jose, CA 95128 <br />• 1900 Sullivan Ave, Daly City, CA 94015 <br />• 3630 E. Imperial Highway, Lynwood, CA 90262 <br />• 2700 E. Slauson Ave., Huntington Park, CA 90255 <br />• 5953 S. Atlantic Blvd., Maywood, CA 90270 <br />• 9400 No Name Uno, Gilroy, CA 95020 <br />• 2101 Forest Avenue, San Jose, CA 95128 <br />• 600 Marine Blvd., Moss Beach, CA 94038; and <br />WHEREAS, the facilities are owned and/or operated by the Corporation, or a <br />subsidiary or affiliate of the Corporation, each a nonprofit corporation and an organization <br />described in Section 501(c)(3) of Internal Revenue Code of 1986, as amended (the <br />"Code"); and <br />ATTY/RESO.0072/CC RESO APPROVING THE CALIFORNIA PUBLIC FINANCE AUTHORITY REVENUE NOTES RESO.
