<br /> ~6. Mediation. <br /> If a dispute arises out of or relates to this Agreement, or <br />the breach thereof, the parties shall endeavor to settle the dispute <br />through direct discussion. If the dispute cannot be settled through <br />discussions, the parties agree to first try, in good faith, to <br />resolve the dispute by mediation before, and as a condition precedent <br />to, the initiation of any adjudicative action or proceeding, <br />including binding arbitration or court action. If, during the <br />mediation, a party (hereinafter referred to as "Offering Party") makes <br />a written offer of compromise to the other party which is not <br />accepted by that party (hereinafter referred to as "Refusing Party") <br />and the Refusing Party'fails to obtain a more favorable judgment or <br />award, the Refusing Party shall pay the Offering Party all costs and <br />expenses, including reasonable attorneys' fees, incurred from the <br />time the offer is refused until the matter is concluded. <br /> ~7.
