<br />Project Manager shall continue to perform services as required under <br />this Agreement until the effective date of termination. At their <br />option, CITY/DISTRICT, upon receiving a written notice of termination <br />from Project Manager, may direct Project Manager to immediately cease <br />performance of any further services. <br /> (b) CITY and DISTRICT may terminate this Agreement, <br />without cause, by giving at least thirty (30) days written notice <br />thereof to Project Manager. The effective date of such termination <br />shall be stated in the notice. Project Manager shall continue to <br />perform services as required under the Agreement until the <br />termination date specified in the notice. <br /> (c ) In the event of termination under either subparagraph <br />(a) or (b) , Project Manager shall be entitled to compensation for <br />services reasonably rendered and expenses reasonably accrued up to <br />the date of termination or the date upon which Project Manager has <br />been directed to cease performing services, whichever date is <br />earlier. <br /> ( d) Nothing stated herein shall be deemed or construed as <br />a limitation upon the right of any party to terminate this Agreement <br />for cause, or to exercise such rights or remedies as may be available <br />to any party to this Agreement. <br /> (e) In the event this contract is terminated prior to the <br />end of the contract, with or without cause, Project Manager shall <br />provide CITY/DISTRICT with all plans, studies, drawings, reports, <br />memoranda, computer programs or other documents, as specified in <br />paragraph 6 below, within seven (7) working days of the effective <br />date of termination. <br /> -6- <br /> -..."
