EXHIBIT C MEMORANDUM OF LEASE AGREEMENT Page 1 of 2 This Memorandum of Lease Agreement is entered into on this 29th day of July, 1996, by and between CITY OF REDWOOD CITY, a municipal corporation of the State of California with an office at 1017 Middlefield Road, Redwood City, CA 94064,(hereinafter referred to as "Lessor") and BA Y AREA CELLULAR TELEPHONE COMPANY, a California general partnership, doing business as Cellular One ("CellularOne") having its principal place of business at 651 Gateway Blvd., South San Francisco, CA 94080, Attn. Director, Systems Development (hereinafter referred to as "Lessee"). 1. Lessor and Lessee entered into an unrecorded Lease Agreement-Communications Facility ("Lease") on the 29th day of July, 1996, incorporated herein by reference, pursuant to the terms of which Lessee may install, operate and maintain a facility for furnishing cellular telephone, radio and telecommunications services. 2. The term of the Lease is for five (5) years commencing on July 29, 1996 and ending on July 28, 2001, with two (2) successive five (5) year options to renew. 3. The Emerald Lake Hills Water Tank Property which is the subject of the Lease is described in Exhibit A annexed hereto. The portion of the Emerald Lake Hills Water Tank Property being leased to Lessee (the "Leased Premises") is described in Exhibit B annexed hereto. The Lease provides for a right of ingress and egress during the term of the Lease over Access Areas defined therein IN WITNESS WHEREOF, the parties have executed this Memorandum of Lease Agreement as of the day and year first above written.
