REV: 05-21-24 VR <br />AMENDMENT NO. 7 TO AGREEMENT FOR SERVICES <br />AECOM <br />This Amendment No. 7 (the “Amendment No. 7”) is entered into and effective as <br />of __________________, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and AECOM Technical Services, <br />Inc., a California Stock Corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services, dated as of August 21, 2017, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of April 8, 2019, Amendment No. 2 to the <br />Original Agreement (“Amendment No. 2”), dated as of July 17, 2019, Amendment No. 3 <br />to the Original Agreement (“Amendment No. 3”), dated as of July 26, 2019, Amendment <br />No. 4 to the Original Agreement (“Amendment No. 4”), dated as of March 10, 2020, <br />Amendment No. 5 to the Original Agreement (“Amendment No. 5”), dated as of July 12, <br />2022, and Amendment No. 6 to the Original Agreement (“Amendment No. 6”), dated as <br />of March 15, 2023 (the Original Agreement and Amendment Nos. 1 through No. 6 are <br />collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 7, including any terms and conditions of the attached Exhibit <br />“A”, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Three Million Six <br />Hundred Eighty Thousand Dollars ($3,680,000) for the completion of all the services <br />described in Exhibit “A”, which sum will include all costs or expenses incurred by <br />Consultant. Including all amendments through Amendment No. 7, the total amount <br />payable under the Agreement will be a not-to-exceed amount of Thirteen Million One <br />Hundred Fifteen Thousand Two Hundred Forty-Eight Dollars ($13,115,248). <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 7. <br />ATTY/AGR.2024/Amend.
