pRIGINAL AMENDMENT NO.2 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES AECOM This Amendment No. 2 is entered into and effective as of the I } day of �Ju � , 2019, amending and extending the agreement dated August 21, 2017, y and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and AECOM Technical Services, Inc. ("Consultant') (collectively, the "Parties') for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (RMI Support) phase. RECITALS A. On August 21, 2017, the Parties executed an Agreement for Professional Services for the 101/84 (Woodside Road) Interchange Project Plans, Specifications and Estimate (PS&E) and Right of Way Support (RMI Support) phase (the "Original Agreement'); and B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to increase the Original Agreement amount up to 10% of the Original Agreement amount if necessary (Minute Order 17-148); and C. On April 8, 2019, the Parties executed Amendment No. 1 to the Agreement for Professional Services in the amount not to exceed $73,954, to an aggregate Agreement value not to exceed $7,261,509 ("Amendment No. 1 "; the Original Agreement and Amendment No. 1 are collectively referred to herein as the "Agreement'); and D. The Parties have negotiated and agreed to additional scope of work and compensation, which are attached to and incorporated by reference as Exhibit "A," Scope of Services and Exhibit "B," Compensation. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis not -to -exceed Six Hundred Forty - Four Thousand Eight Hundred Dollars ($644,800), for an aggregate Agreement amount not to exceed Seven Million Nine Hundred Six Thousand Three Hundred Nine Dollars ($7,906,309) in accordance with the provisions of Exhibit "B." Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement will include coverage for this Amendment.
