ORIGINAL AMENDMENT NO. 2 TO AGREEMENT FOR GENERAL SERVICES GREG'S TRUCKING SERVICE, INC. This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as of AIsG JSk 21 , 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("Citi'), and Greg's Trucking Service, Inc., a California corporation ("Contractor') (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of September 7, 2017, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of September 7, 2018 (the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor shall provide the additional services on an hourly basis as set forth in Exhibit A, and such services shall be considered part of the Services for purposes of the Agreement. 2. City shall pay Contractor a not -to -exceed amount of One Hundred Thousand Dollars ($100,000.00) for the completion of all the services described in Exhibit A, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement shall be a not -to -exceed amount of Three Hundred Thousand Dollars ($300,000.00). 3. Unless terminated earlier, the term of this Agreement will be a period of three years from the Effective Date. 4. Contractor shall complete all work described in Exhibit A by September 7, 2020. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 2.
