AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br />WATERWORKS INDUSTRIES, INC. <br />This Amendment No. 3 (the "Amendment No. 3") is entered into and effective as <br />of September , 2020, by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California ("City"), and Waterworks <br />Industries, Inc., a California corporation ("Contractor") (collectively, the "Parties"). <br />RF(_ITAI S <br />A. The Parties previously executed that certain General Services Agreement, <br />dated as of September 7, 2017, (the "Original Agreement"). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement ("Amendment No. 1 "), dated as of February 9, 2018. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement ("Amendment No. 2"), dated as of August 8, 2019 (the "Original Agreement" <br />and "Amendments No. 1 and 2" are collectively known as the "Agreement"). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibits <br />A and B, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Contractor will provide the services set forth in Exhibit A, and such services <br />will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Contractor a not -to -exceed amount of Fifty Thousand Dollars <br />($50,000) for the completion of all the services described in Exhibit A, which sum will <br />include all costs or expenses incurred by Contractor. Including all amendments through <br />Amendment No. 3, the total amount payable under the Agreement will be not -to -exceed <br />amount of Eight Hundred Sixty-six Thousand Five Hundred Fifty-two Dollars and Fifty <br />Cents ($866,552.50). <br />3. Unless terminated earlier, the term of this Amendment will end on <br />November 1, 2020. Including all amendments, through Amendment No. 3, the total term <br />of this Agreement is three (3) years and two (2) months from the Effective Date of this <br />Agreement. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Contractor pursuant to <br />REV: 08-18-2020 EI <br />ATTY/AGR.Amend No. 3/WATERWORKS INDUSTRIES, INC. (Page 1 of 7) <br />
