to exceed the amount set forth in Section 2 below. Unless agreed to otherwise, RCN <br />shall provide this written explanation to the City, in writing, within fourteen (14) days of a <br />request to do so by the City. <br /> <br /> (o) RCN recognizes that the I-NET may be used for vital public safety <br />communications. Any interruptions in service, whether at one or multiple locations, <br />which are due to problems with the RCN maintained portion of the I-NET will be given <br />the highest priority and outages will be kept to a minimum, but in no event greater than <br />twenty-four (24) hours. In the event RCN is unable to correct an outage within 24 <br />hours, the parties shall meet to discuss resolution of the service interruption including <br />possible use of a qualified third party. <br />2. Alternative Proposals. <br /> <br />RCN may submit and City may consider alternative proposals utilizing emerging <br />technologies, for providing I-NET type services. <br />3. Preservation of I-Net System. <br /> <br />If upon expiration of this Franchise agreement, RCN is denied a renewal or extension <br />for whatever reason, RCN shall negotiate in good faith, terms to ensure the <br />preservation of the I-NET. In the event of abandonment or removal of the cable system <br />by RCN, the City will be entitled to the provisions set forth in Section 5.10 of the <br />Franchise Agreement. Upon negotiating for the preservation of the I-Net if either party <br />declares impasse then the parties agree to submit the matter to binding arbitration. <br />Section 2. City's Payment for I-NET. <br /> <br /> The I-NET shall be installed, owned, and maintained by RCN and paid for by the <br />City throughout the terms of the franchise.
