Lane — Broadway, LLC, a <br /> California limited liability company("Lessee") and BAE-GEM PROPERTIES, LP, a California limited <br /> partnership ("Property Owner" and together with Lessee, the "Developer"), on the one hand, and the <br /> CITY OF REDWOOD CITY, a charter city and California municipal corporation("City"), on the other <br /> hand,with reference to the following facts: <br /> RECITALS <br /> A. Reference is made to that certain real property situated in the City of Redwood City, <br /> County of San Mateo, State of California,known as the_2075 Broadway site and described on <br /> Exhibit"A", attached hereto and incorporated by this reference as if fully set forth herein (the <br /> "Property"). The Property is being developed as an office building project. <br /> B. In connection with its development of the Property as an office building project, the <br /> Developer submitted to the City landscaping plans for the Property frontage("Plans"), all of which Plans <br /> have been approved by the City. The Plans provide for installation of certain landscaping, pedestrian <br /> lighting and irrigation("Improvements")within Broadway and Jefferson Avenue ("Maintenance Area"). <br /> Improvements and Maintenance Area are more specifically shown on Exhibit"B"attached hereto and by <br /> this reference made a part hereof. <br /> C. The Property Owner is the owner of the Property. <br /> D. Pursuant to that certain ground lease dated June 30, 2014 by and between Property <br /> Owner and Lessee, as amended from time to time,Lessee leased the Property from Property Owner for a <br /> term of ninety nine(99)years. <br /> E.
