2. Consulting Fee: City shall pay Consultant at the rate of $75 per hour. Consultant will <br />immediately seek and obtain approval from the City for any Final Appraisal assignment that <br />Consultant anticipates will require more than ten (10) hours to complete. Consultant will submit <br />monthly billing statements to the City, which shall include the amount, rate, and a description of <br />services rendered. The City shall make payment to Consultant within thirty (30) days of <br />receiving Consultant's billing statement. Consultant shall not be entitled to interest on <br />outstanding billing statements that are past thirty (30) days due. <br />3. Consultant an Independent Contractor. The Consultant, and the agents, employees, <br />and subcontractors of Consultant, in the performance of this Agreement, shall act in an <br />independent capacity and not as officers or employees of the City. <br />4. Records Retention. During Consultant's performance of services under this Agreement, <br />various documents and records may be received and prepared. All correspondence, reports, <br />transcripts, exhibits, documents, records, and other items reasonably necessary to the <br />Consultant's performance of his/her services under this Agreement shall belong to the City and <br />shall be released to the City upon request. <br />5. Duty of City to Supply Data. City agrees to provide Consultant with the City's <br />Appraisal and the Owner's Appraisal for each Dwelling for which Consultant is selected to be a <br />Third Party Appraiser. City shall also provide Consultant with a copy of the Docktown Plan. <br />6. Confidentiality. All communications, including any oral discussions or deliberations, <br />documents, reports, and/or information developed or received by Consultant prior to the <br />execution of this Agreement or in performance of this Agreement ("Confidential Information") <br />are confidential, and Consultant shall not disclose any Confidential Information to any person <br />except as authorized in writing by the City or as required by law. <br />7. Notices. Any and all notices, demands, invoices, and written communication between <br />the parties hereto shall be addressed as set forth in this paragraph.
