The Developer shall also furnish or cause to be furnished to the Agency evidence satisfactory to the Agency that any contractor with whom it has contracted for the performance of work on the Project Site carries workers' compensation insurance as required by law. The Developer also agrees that before its prime contractor commences work on the Project Site, such contractor shall furnish the City and the Agency proof of insurance coverage naming such public agencies, their respective officers, members, agents and employees as co -insureds, under a policy or policies of insurance containing coverage of such risks and in such amounts as are standard for public works contracts of the nature and scope to be constructed on the Project Site. In addition to the insurance requirements of this section the Developer shall assume and be responsible for, and shall protect, indemnify and save harmless, the Agency, the City and their respective officers, members, agents and employees from and against any and all claims, demands, liability, loss or costs, including reasonable attorneys' fees and court costs, for injuries to, or the death of, any person or persons, or damages to property, including property of the Agency or of the City, which may arise out of or in any manner be connected with the Developer's performance of the work called for by this Agreement. The Developer's undertaking and duty to protect, indemnify and save harmless the Agency and the City under this section of the Agreement, shall extend to and cover any claim that may be brought against either the Agency or the City, or both, on the grounds of the discovery of toxic or hazardous materials on the Project Site, where the claim against the Agency or the City is based on the mere ownership by the Agency of one or more Acquisition Parcels for the interval of time necessary for it to perform its obligations under Article 3 of this Agreement; provided that the duties of the Developer under this Paragraph shall not extend to the indemnification of the Agency or the City where either or both the Agency and the City and their respective members, officers, employees, agents or independent contractors bear responsibility, directly or indirectly, for (1) the presence of toxic or hazardous materials on the Project Site or (2) any injuries to, or death of any person or persons, or damage to any property resulting from the presence on the Project Site of the toxic or hazardous materials to which reference is made in (1) of this sentence. §507 City and Other Governmental Agency Permits Before commencement of demolition, construction or development of any buildings, structures or other works of improvement upon the Project Site, the Developer shall, at its own expense, secure or cause to be secured any and all permits which may be required by the City or any other governmental 21
