ATTACHMENT NO. 1 <br />Definitions <br />Sales and Use Taxes means the portion of the taxes imposed upon <br />any activity conducted within the Project pursuant to the Sales <br />and Use Tax Law as set forth in Division 2 of Part 1 of the <br />Revenue and Taxation Code and as implemented by Article 1 of <br />Chapter 32 of the Code of the City of Redwood City, and <br />distributed without restriction to the City for its general use <br />during any calendar year, less the sum of $18,504.00 <br />(representing the amount of such taxes received by the City from <br />the Project Site in the year proceeding this Agreement). <br />Sam Trans means the San Mateo County Transit District. <br />Schedule of Performance (Attachment No. 4) <br />Tax Increment means that portion of the taxes allocated and paid <br />each year to the Agency from levies upon taxable property in the <br />Project Area pursuant to Section 33670 of the Health and Safety <br />Code that are (1) attributable solely to taxable property within <br />the Project Site, and (2) that are in excess of the sum of the <br />following amounts: (a) the total amount of taxes received by the <br />Agency from levies upon taxable property within the Project Site <br />for the last full tax year preceding execution of this Agreement, <br />namely $41,771.00; and (b) any amount required to be set aside by <br />the Agency pursuant to Section 33334.2 of the Health and Safety <br />Code, and (c) any amount to which any taxing entity may be <br />entitled pursuant to an agreement with the Agency pursuant to <br />Section 33401 of the Health and Safety Code or other such <br />authority. <br />Title Company (defined in §206) <br />Total Project Cost means the actual cost paid to third parties by <br />the Developer for the construction, financing and leasing of the <br />Project less any income or other consideration received from the <br />sale of a portion of the real property or from the rental income <br />of the Project from the time that the Project commences <br />construction until the Project is ninety-five percent (95%) <br />leased or nine months after the opening for business of the first <br />tenant in the Project, whichever occurs sooner. The Total <br />Project Cost will include $534,000 paid to the Developer as a <br />developer fee. No other fees, commissions, profit or any other <br />form of consideration, including return on equity invested in the <br />Project, owed to the Developer or any of its affiliates or <br />partners are to be included in the definition of Total Project <br />Cost. In the event that there is insufficient net operating <br />income in any year to pay the obligation on debt financing in <br />that year, the shortfall can be added to the Total Project Cost. <br />The resultant sum is the Total Project Cost. <br />Page 4 of 4 <br />
