ATTACHMENT NO. 8. <br />CERTIFICATE OF COMPLETION <br />THIS CERTIFICATE OF COMPLETION ("Certificate") certifies <br />that the Developer, as defined in that certain document entitled <br />Disposition and Development Agreement, dated <br />("DDA"), by and between the Redevelopment Agency of the City of <br />Redwood City ("Agency") and Sequoia Station Developers, Inc., a <br />California Corporation, pursuant to Section 520 of the DDA, has <br />complied with all terms and conditions contained in the DDA <br />governing the Developer's duties and responsibilities thereunder, <br />and save for specific obligations which survive this Certificate <br />as set forth in Sections 701, 702, 703, 704 and 805 of the DDA, <br />the Developer has no further obligations arising pursuant to the <br />DDA. The development described in the DDA is hereby deemed <br />complete and accepted in all respects by the Agency and neither <br />the Agency, the City of Redwood City nor any other person shall <br />have any rights, remedies or controls that it would otherwise <br />have or be entitled to exercise under the DDA as a result of a <br />Default by the Developer (as defined in the DDA) in the <br />performance of any provisions of the DDA. <br />Therefore, the encumbrance created by the following <br />language: <br />"In addition, the Grantor has the limited and <br />conditional right to reenter and take possession of the <br />Property and all improvements thereon, and to terminate <br />and revest in the Grantor the estate conveyed to the <br />Grantee hereby, as such right is set forth in Section <br />1011 of the Agreement; provided that such right to <br />reenter, take possession, terminate and revest shall <br />expire and be of no further force or effect upon the <br />recordation by the Grantor of the Certificate of <br />Completion described in Section 1011 of the Agreement." <br />
