ATTACHMENT NO. 8. CERTIFICATE OF COMPLETION THIS CERTIFICATE OF COMPLETION ("Certificate") certifies that the Developer, as defined in that certain document entitled Disposition and Development Agreement, dated ("DDA"), by and between the Redevelopment Agency of the City of Redwood City ("Agency") and Sequoia Station Developers, Inc., a California Corporation, pursuant to Section 520 of the DDA, has complied with all terms and conditions contained in the DDA governing the Developer's duties and responsibilities thereunder, and save for specific obligations which survive this Certificate as set forth in Sections 701, 702, 703, 704 and 805 of the DDA, the Developer has no further obligations arising pursuant to the DDA. The development described in the DDA is hereby deemed complete and accepted in all respects by the Agency and neither the Agency, the City of Redwood City nor any other person shall have any rights, remedies or controls that it would otherwise have or be entitled to exercise under the DDA as a result of a Default by the Developer (as defined in the DDA) in the performance of any provisions of the DDA. Therefore, the encumbrance created by the following language: "In addition, the Grantor has the limited and conditional right to reenter and take possession of the Property and all improvements thereon, and to terminate and revest in the Grantor the estate conveyed to the Grantee hereby, as such right is set forth in Section 1011 of the Agreement; provided that such right to reenter, take possession, terminate and revest shall expire and be of no further force or effect upon the recordation by the Grantor of the Certificate of Completion described in Section 1011 of the Agreement."
