DU"rX�TE <br />MIt,31 NAL <br />FIRST AMENDMENT OF DISPOSITION <br />AND DEVELOPMENT AGREEMENT FOR <br />THE SEQUOIA STATION PROJECT <br />THIS FIRST AMENDMENT OF DISPOSITION AND DEVELOPMENT <br />AGREEMENT FOR THE SEQUOIA STATION PROJECT (this "Amendment"), <br />is entered into as of March 9, 1992, by and among the <br />REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY, CALIFORNIA <br />(the "Agency"), SEQUOIA STATION DEVELOPERS, INC., a California <br />corporation ("Sequoia"), and SAFEWAY INC., a Delaware <br />corporation ("Safeway"). All capitalized terms that are not <br />otherwise defined herein shall have the meanings set forth in <br />the DDA (hereinafter defined) unless the context otherwise <br />requires. <br />W I T N E S S E T H: <br />WHEREAS, the Agency and Sequoia entered into that <br />certain Disposition and Development Agreement for the Sequoia <br />Station Project dated as of April 10, 1990 (the "DDA") with <br />respect to the development and construction of the Project as <br />described in the DDA; and <br />WHEREAS, Safeway and Sequoia have entered into that <br />certain Development Agreement dated as of February 21, 1992 <br />(the "Safeway Development Agreement"); and <br />WHEREAS, pursuant to the terms of the Safeway <br />Development Agreement, Sequoia has agreed to transfer and <br />assign to Safeway all of Sequoia's right, title and interest <br />in and to the DDA and all other agreements, contracts; and <br />instruments related to the DDA; and <br />WHEREAS, Sequoia desires to assign its interest in <br />and to the DDA to Safeway, and the Agency is prepared to <br />approve such assignment in accordance with the DDA; and <br />WHEREAS, the Agency, Sequoia, and Safeway desire to <br />amend the DDA in the respects hereinafter set forth in <br />contemplation of such assignment. <br />NOW, THEREFORE, the parties hereto agree as follows: <br />6407L <br />
