JAH:ort IU/2//N2 (UU7/:)4! <br />DUPLICATE JAH:O*k 10/28/92R <br />0RIG1"N'AL <br />SECOND AMENDMENT OF DISPOSITION <br />AND DEVELOPMENT AGREEMENT FOR <br />THE SEQUOIA STATION PROJECT <br />THIS SECOND AMENDMENT OF DISPOSITION AND DEVELOPMENT <br />AGREEMENT FOR THE SEQUOIA STATION PROJECT ("Second Amendment"), <br />is entered into as of � i > , 1992, by and between the <br />REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY (the "Agency"), <br />the CITY OF REDWOOD CITY (the "City"), and SAFEWAY INC., a <br />Delaware corporation ("Safeway"). All capitalized terms that are <br />not otherwise defined herein shall have the meanings set forth in <br />the DDA (hereinafter defined) unless the context otherwise <br />requires. <br />W I T N E S S E T H: <br />WHEREAS, the Agency, City and Sequoia Station Developers, <br />Inc., a California corporation, entered into that certain <br />Disposition and Development Agreement for the Sequoia Station <br />Project dated as of April 10, 1990 (the "DDA") with respect to <br />the development and construction of the Project as described in <br />the DDA; and <br />WHEREAS, Sequoia assigned its interest in and to the DDA to <br />Safeway, and the Agency and City approved such assignment in <br />accordance with the DDA pursuant to the First Amendment of the <br />DDA; and <br />WHEREAS, the Agency, City and Safeway desire to amend the <br />DDA in the respect hereinafter set forth to make its provisions <br />conform with subsequent events. <br />NOW, THEREFORE, the parties hereto agree as follows: <br />
