AGREEMENT <br /> FOR PROFESSIONAL SERVICES <br /> <br /> DESIGN FOR UPGRADES TO THE AUDIO/VISUAL SYSTEM <br /> IN THE CITY HALL COUNCIL CHAMBER <br /> <br /> THIS AGREEMENT, made and entered into this .'~'day of ~V~ . 200~. <br /> <br />by and between the CITY OF REDWOOD CITY, a municipal cor ation he State of <br />California, ("City"), and CHARLES M. SALTER ASSOCIATES, INC. ("Consultant"); <br /> <br /> WlTNESSETH: <br /> <br /> WHEREAS, City proposes to provide improvements to the City Council Chamber in the <br />City of Redwood City (the "Project"); and <br /> <br /> WHEREAS, in connection with the Project, the City requires professional Audio/Visual <br />services; and <br /> <br /> WHEREAS, Consultant represents that it possesses the experience, and is qualified to <br />perform the aforesaid services for the Project; <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1. CONSULTANT'S SERVICES. Consultant shall perform related services described <br /> <br />in Exhibit "A" hereof, attached hereto and by this reference incorporated herein. <br /> <br /> 2. COMPENSATION; EXPENSES; PAYMENT. City shall compensate Consultant for <br /> <br />all services performed by Consultant hereunder in an amount based upon Consultant's hourly <br />rates that are prevailing during the time of the performance of said services. A copy of <br />Consultant's hourly rates for which services hereunder shall be performed are set forth in <br />Consultant's fee schedule marked Exhibit "lB" hereof, attached hereto and by this reference <br />incorporated herein. <br /> <br /> Notwithstanding the foregoing, the combined total of compensation and reimbursement <br /> <br />of costs payable hereunder shall not exceed the sum Seventeen Thousand Four Hundred Sixty <br /> <br /> F:Atty2001Shared/Reowood/Council/Agmt/Agmt-520 1 <br /> <br /> <br />
