6. Hold Harmless <br /> <br /> The Contractor agrees to indemnify and defend the School District, its employees, and <br /> agents from-any and all claims, damages, and liability in any way occasioned by or arising <br /> out of the performance of this agreement. <br /> <br /> 7. Dispute Resolution <br /> <br />Should any dispute arise out of this Agreement, the P,xties should meet in mediation and <br />attempt to reach a resolution with the assistance ora mutually acceptable mediator. The <br />costs of the mediator, if any, shall be paid for by the School District. Ifa mediated <br />settlement is reached, neither party shall be the prevailing party for the purposes of this <br />settlement. Neither party shall be permitted to file legal action without first meeting in <br />mediation and maintaining a good faith attempt to reach a mediated resolution. <br /> <br />8. Compensation <br /> <br />The Contractor agrees to perform all of the services of this Agreement for a sum not to <br />exc-°d $33,714.58. The Contractor will match this same amount to pay to the officer. <br /> <br />9. 'Payment <br /> <br />Contractor shall submit an invoice detailing the services perfonaed during the billing <br />period. SUHSD shall make a one-time payment of $33,714.58. <br /> <br />10. Term of Agreement <br /> <br />The term of this agreement is fi.om September 4, 2001 through June 14, 2002.
