<br /> Section 21.25 Miscellaneous. <br /> (a) Quiet Enjoyment. Landlord covenants and agrees that, so long is Tenant <br /> is not in default in its obligations hereunder beyond the expiration of any applicable cure <br /> or grace period, Tenant shall have and enjoy the peaceable and quiet enjoyment of the <br /> Premises subject to the terms of this Lease, free and clear of any nuisance, claim, <br /> interruption or impairment by Landlord or by any person or entity claiming by, through <br /> or under Landlord. Tenant covenants and agrees that Tenant shall not commit any <br /> nuisance or other impermissible act which would disturb the quiet enjoyment of any other <br /> tenant in the Center. <br /> (b) Right to Inspect. Landlord, and its authorized agents and representatives, <br /> shall be entitled to enter the Premises at all reasonable times and upon reasonable prior <br /> notice (except in the event of emergency) to Tenant for the purpose of inspecting the <br /> Premises (but only if Landlord in good faith has reason to believe that the condition of <br /> the Premises or the conduct of Tenant's business therein is in violation of this Lease), for <br /> the purpose of serving, posting or keeping posted thereon such notices as Landlord may <br /> reasonably deem necessary or appropriate for the protection of Landlord or its interest in <br /> the Center from any mechanics or materialmen's liens, and for the purpose of making any <br /> repairs to the Premises and performing any work thereon which Landlord may be <br /> authorized to make pursuant to the express terms and provisions hereof; provided, <br /> however, that in so doing Landlord shall not unreasonably interfere with Tenant or the <br /> conduct of Tenant's business in the Premises. <br /> (c) Compliance with Laws. Notwithstanding anything to the contrary <br /> contained in the Lease: (i) Tenant agrees, at its sole cost and expense, to comply with all <br /> Applicable Laws regarding the (x) Building, (y) Tenant's use ofthe Premises, and (z) any <br /> alterations or other work installed or made by Tenant or on behalf of Tenant relating to <br /> the Premises (subject, however, to Section 10.4); and (ii) Landlord agrees, at its sole cost <br /> and expense (subject to the provisions hereof regarding Common Area Expenses), to <br /> comply and to use all commercially reasonable efforts to cause the tenants and occupants <br /> of the Center (other than Tenant) to comply with all Applicable Laws regarding the (x) <br /> the Center (other than the Premises), (y) the conduct of business within the Center (other <br /> than the Premises), and (z) any alterations or other work on or about the Center (other <br /> than the Premises); provided, however, that Landlord shall have no liability to Tenant for <br /> the failure to cause the other tenants and occupants of the Center to comply with any <br /> Applicable Laws unless their failure to comply materially and adversely affects the <br /> operation of Tenant's business within the Premises or Tenant's use of the Parking <br /> Facility and other Common Areas as contemplated hereunder. <br /> 74 <br /> CHG02:3091375.v8 <br /> . --.,.--..-- <br />
