LLC, a <br /> California limited liability company ("Developer"), that in connection with the Amended and <br /> Restated Disposition and Development Agreement for Downtown Retail-Cinema and Parking <br /> Project dated January 8, 2003 by and among Developer's predecessor-in-interest, BHV Innisfree <br /> Ventures I, LLC, a California limited liability company, the City of Redwood City (the "City"), <br /> and the Redevelopment Agency of the City of Redwood City (the "Agency") (as amended prior <br /> to the date hereof, the "DDA"), that the Developer, the City and the Agency have agreed that the <br /> Maintenance Agreement required under §519 of the DDA will be completed following the close <br /> of escrow described in the DDA, and that the parties will reasonably cooperate to complete such <br /> Maintenance Agreement within a reasonable time period following closing, but in no event later <br /> than June 30, 2005. <br /> .. - ._.__. __..^..,___,_.....~______.___..__.·M...__..~.,___.___~__ <br />
