<br /> The Parties will deposit with the Escrow Agent the following documents and funds: <br /> A. By Agency - <br /> 1. Deed to City - The Agency will deposit a duly executed and <br /> acknowledged grant deed from it to the City conveying the Agency's interests, as they may appear, <br /> in Parcels Band C as identified in the Parcel Map (the "Parcels Band C Deed"). <br /> 2. Deed to Developer - The Agency will deposit a duly executed and <br /> acknowledged grant deed from it to the Developer (the "Final Parcel A Deed") conveying the <br /> Agency's interest in Parcel A as identified in the Parcel Map (the "Air Rights Parcel"). <br /> B. By City - <br /> I. Deed to Agency - The City will deposit a duly executed and acknowledged <br /> grant deed conveying the City's interest in the Air Rights Parcel to the Agency (the "Initial Parcel <br /> A Deed"). <br /> C. By Developer - <br /> 1. Funds - The Developer will deposit the following funds: <br /> a. Seven Million Five Hundred Thousand Dollars ($7,500,000.00), <br /> representing the Developer's Share of Acquisition Budget. <br /> b. Fifty Eight Thousand Five Hundred Twenty Nine Dollars <br /> ($58,529.00), representing repayment of certain funds under the Second Amendment to Box Culvert <br /> Agreement, dated July 22, 2003; <br /> c. Four Hundred Ten Thousand Seven Hundred Thirty Three Dollars <br /> ($410,733.00), representing repayment of funds due under the Demolition, Utility Relocation and <br /> Reimbursement Agreement dated August 21, 2003; <br /> d. Forty Seven Thousand Eighty One Dollars ($47,081.00) due under <br /> that certain Agreement with Evans Brothers for demolition of 846 Jefferson A venue, City of <br /> Redwood City. <br /> e. Amounts equal to the title premium for the title policy described <br /> in Section II A below, recording costs, notary fees, transfer fees, escrow fees and taxes on the <br /> Acquisition Parcels, if applicable, all of which are the Developer's obligation under the DDA, as <br /> identified in a Preliminary Closing Statement to be provided by the Escrow Agent not later than ten <br /> (10) days prior to the close of escrow. <br /> REDW\0002\DOC\008-8.
