<br /> 2. The determination of a feasible means of financing the Public Parking <br /> Facility (DDA Section 402.B.17), which has been satisfied. <br /> 3. The acquisition of the Project Approvals and CEQA requirements (DDA <br /> Section 402.B.2), which has been satisfied. <br /> 4. The relocation of all occupants of the Agency and Acquisition Parcels <br /> (DDA Section 402.B.3), which has been satisfied. <br /> 5. The obtaining of necessary permits and approvals from governmental <br /> agencies having jurisdiction over the Project (DDA Section 402.B.6), which has been satisfied. <br /> 6. Vacation or abandonment of rights of way contemplated by the DDA <br /> (DDA Section 402.B.7), which has been satisfied. <br /> 7. Developer's approval of the Site and Developer's Site Feasibility <br /> Assessment (DDA Section 402.B.9), which has been satisfied. <br /> 8. Developer's approval of budgets for all costs for which the Developer is <br /> responsible under the DDA (DDA Section 402.B.10), which has been satisfied. <br /> 9. The execution and delivery of the Parking Facilities Agreement, the <br /> Construction Agreement and the Maintenance Agreement (DDA Sections 402.B.13, 402.B.14 and <br /> 402.B .15), which has been satisfied. <br /> E. You have received oral confirmation from David Irmer on behalf of the Developer <br /> and Chris Chavez or Noel Nellis of Orrick, Herrington & Sutcliffe LLP that all other conditions of <br /> closing required by the Developer to be fulfilled outside of this escrow have been fulfilled to the <br /> satisfaction of the Developer. <br /> F. You have received oral confirmation from Stan Yamamoto or Damien Brower on <br /> behalf of the Agency that all other conditions of closing required by the Agency and/or the City to <br /> be fulfilled outside of this escrow have been fulfilled to the satisfaction of the Agency and/or the <br /> City. <br /> Section III - Escrow Agent's Preliminary Duties <br /> A. Immediately upon receipt of these instructions and a copy of the DDA, the <br /> Escrow Agent will indicate to the Parties by countersigning below, and providing copies of these <br /> instructions so countersigned to each party, that it accepts its duties under Article 4 of the DDA and <br /> these joint escrow instructions.
