REV: 10-14-2021 RL <br />AMENDMENT NO. 2 <br />TO AGREEMENT FOR SERVICES <br /> Alpha Analytical Laboratories, Inc. <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of October 10, 2021, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Alpha Analytical Laboratories, <br />Inc., a California corporation (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain General Services Agreement, <br />dated as of October 10, 2017, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of September 13, 2019 (the “Original <br />Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Contractor will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Contractor a not-to-exceed amount of One Hundred Twenty <br />Four Thousand One Hundred Eighty Dollars and Six Cents ($124,180.06) for the <br />completion of all the services described in Exhibit “A”, which sum will include all costs or <br />expenses incurred by Contractor. Including all amendments through Amendment No. 2, <br />the total amount payable under the Agreement will be a not-to-exceed amount of Three <br />Hundred Fifty One Thousand Eight Hundred Fifty One Dollars and Six Cents <br />($351,851.06). <br /> <br />3. Unless terminated earlier, the term of this Amendment will be a period of <br />two years from the effective date of this Amendment. Including all amendments, through <br />Amendment No. 2, the total term of this Agreement is six years from the Effective Date of <br />this Agreement. <br />4. Contractor will complete all work described in Exhibit “A” by October 10, <br />2023, provided that the City may grant extensions consistent with the extension <br />provisions set forth in the Agreement. <br />ATTY/AGR.2021 - Amend No. 2/Alpha Analytical Laboratories, Inc.
