ORIGINAL <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Superion) <br /> T I AGREEMENT is made and entered into as of <br /> the 6 day of <br /> 2017 , by and between the CITY OF REDWOOD WOOD CITY, a charter <br /> city and municipal corporation of the State of California ("Customer") , and Superion , LLC, <br /> a Delaware limited liability company, as successors in interest to SunGard Public Sector <br /> LLC ("Superion") . <br /> RECITALS <br /> A. Customer requires the professional services of a software/service provider <br /> :o add functionality to the Customer's existing permitting system to a 'ow for online plan <br /> submittals and online credit card payments. <br /> B . Superion has the necessary experience in providinc professional services <br /> and ad /ice . <br /> Selection of Superion is expected to achieve the desired rc 3ults in an <br /> uxpe+� i ?d fashion . <br /> Superion has submitted a proposal to Customer and has ; iffirmed its <br /> willingn ss and ability to perform such work. <br /> NOW, THEREFORE , in consideration of these recit uIs and the mutual covenants <br /> contained herein , the Parties agree as follows: <br /> 1 . Scope of Work. Customer retains Superion t ) pei o ,-m , and Superion agrees to <br /> render, those services (the "Services") that are defined n attached Exhibit "A", Order <br /> which is incorporated herein by reference. In the event of a conflict between the <br /> provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement <br /> shall prevail. <br /> 2. Standard of Performance . While performing the Services, Superion will exercise <br /> the reasonable professional care and skill customarily exercised by reputable members <br /> of Superion's profession practicing in the urban Northern California Area , and will use <br /> reasonable diligence and best judgment while exercising its professional skill and <br /> expertise . <br /> 3. Term .
