10. ASSIGNABII-I~FY. Unless specifically set forth herein7 neither DB nor City shall subcontract, assign, sell, mortgage, hypothecate, or otherwise transfer their respective interests or obligations in this Agreement without the express prior written consent of the non-transferring party. 11. STATUS. In the performance of services hereunder, DB shall be, and is, an independent contractor, and shall not be deemed to be an employee or agent of City. 12. PERFORMANCE STANDARDS. In performing services hereunder, DB shall adhere to the standards generally prevailing for the performance of expert construction management and General Contractor services similar to those to be performed by DB hereunder. 13. DOCUMENTS. All documents, plans and drawings, renderings, estimates, and other papers, or copies thereof, as finally rendered, prepared by DB pursuant to the terms of this Agreement, shall, upon preparation and delivery to City, become the property of City Architect retains the copyrights to the plans and drawings. All Subcontracts between DB and Subcontractors shall be approved as to form prior to the solicitation of subcontractors' bids (the "Invitation for Bids"). 14. SCHEDULE. DB shall generally adhere to the schedule referenced in Exhibit 'A" and more specifically set forth in Exhibit "H". incorporated herein by reference, provided, that City shall grant reasonable extensions of time for the performance of such services in accordance with the General Conditions. DB acknowledges to City the importance of City's Project schedule and agrees to put forth its best professional efforts to perform its services under this Agreement and cause the services of others to be performed in a manner consistent with the schedule referenced in Exhibits "H", as amended from time to time.
