10. ASSIGNABII-I~FY. Unless specifically set forth herein7 neither DB nor City shall <br />subcontract, assign, sell, mortgage, hypothecate, or otherwise transfer their respective interests <br />or obligations in this Agreement without the express prior written consent of the non-transferring <br />party. <br /> <br /> 11. STATUS. In the performance of services hereunder, DB shall be, and is, an <br /> <br />independent contractor, and shall not be deemed to be an employee or agent of City. <br /> <br /> 12. PERFORMANCE STANDARDS. In performing services hereunder, DB shall <br /> <br />adhere to the standards generally prevailing for the performance of expert construction <br />management and General Contractor services similar to those to be performed by DB <br />hereunder. <br /> <br /> 13. DOCUMENTS. All documents, plans and drawings, renderings, estimates, and <br /> <br />other papers, or copies thereof, as finally rendered, prepared by DB pursuant to the terms of <br />this Agreement, shall, upon preparation and delivery to City, become the property of City <br />Architect retains the copyrights to the plans and drawings. All Subcontracts between DB and <br />Subcontractors shall be approved as to form prior to the solicitation of subcontractors' bids (the <br />"Invitation for Bids"). <br /> <br /> 14. SCHEDULE. DB shall generally adhere to the schedule referenced in Exhibit 'A" <br /> <br /> and more specifically set forth in Exhibit "H". incorporated herein by reference, provided, that <br /> City shall grant reasonable extensions of time for the performance of such services in <br /> accordance with the General Conditions. <br /> <br /> DB acknowledges to City the importance of City's Project schedule and agrees to put forth <br /> its best professional efforts to perform its services under this Agreement and cause the services <br /> of others to be performed in a manner consistent with the schedule referenced in Exhibits "H", <br /> as amended from time to time.
