CITY may terminate this Agreement immediately <br />for cause upon giving a thirty (30) calendar day written notice to <br />ALiGRANTO. <br /> <br />12. <br /> <br />Termination by ALiGRANTO. ALIGRANTO may terminate this <br />Agreement immediately for cause upon giving a thirty (30) calendar day <br />written notice to CITY. . <br /> <br />13. <br /> <br />Notice. This Agreement shall be governed by the <br />laws of the State of California, and any action brought by either of the <br />parties will be tried in a court of competent jurisdiction in San Mateo <br />County. Additionally, in the operation of Shady Creek family camp, <br />ALIGRANTO shall comply with all applicable laws of the United States, the <br />State of California, and local CITY or county ordinances and regulations. <br /> <br />Entire Aareement of Parties. This Agreement supersedes any and all <br />agreements, oral or written, between the parties with respect to the <br />subject matter of this Agreement and contains all of the representations, <br />covenants, and agreements between the parties. <br /> <br />Authority. Each party executing this Agreement on behalf of a party <br />represents and warrants that such person is duly authorized to do so, on <br />behalf of the entity he or she purports to bind and if such party is a <br />partnership, corporation, or trustee, that such partnership, corporation, or <br />trustee has full right and authority to enter into this Agreement and to <br />perform all of its obligations hereunder. <br /> <br />ALiGRANTO DESTINATIONS LLC <br /> <br />Page 5 of 7 <br />
