ORIGINAL <br /> <br /> AGREEMENT <br /> FOR PROFESSIONAL SERVICES <br /> <br /> [PENINSULA SPORTS OFFICIALS ASSOCIATION] ,. _ ~.._ <br /> THIS AGREEMENT is made and entered into as of the ~~day of May, <br />2002, by and between the CITY OF REDWOOD CITY, a charted city End municipal <br />corporation ("City"), and PENINSULA SPORTS OFFICIALS ASSOCIATION <br />("Consultant"). <br /> <br /> RECITALS <br /> <br /> A. City requires the professional services of officials who are experienced in <br />training, selection and scheduling of umpires for softball games. <br /> <br />B. Consultant has the necessary experience in providing these professional <br />services. <br /> <br /> C. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br /> <br /> D. Consultant has submitted a proposal to City and has affirmed its <br />willingness and ability to perform such work. <br /> <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, City and Consultant agree as follows: <br /> <br />1. SCOPE OF WORK. <br />City retains Consultant to perform, and Consultant agrees to render, those services (the <br />"Services") that are defined in attached Exhibit "A," which is incorporated by this <br />reference in accordance with this Agreement's terms and conditions. <br /> <br />2. COMPENSATION; EXPENSES; PAYMENT. <br />City shall compensate Consultant for all services performed by Consultant hereunder in <br />an amount based upon Consultant's hourly rates that are prevailing during the time of <br />the performance of said services. A copy of Consultant's hourly rates for which services <br />hereunder shall be performed are set forth in Consultant's fee schedule contained in the <br />attached Exhibit A. <br /> <br />Notwithstanding the foregoing, the combined total of compensation and reimbursement <br />of costs payable hereunder shall not exceed the sum THIRTY-TWO THOUSAND <br />THREE HUNDRED THIRTY-SIX DOLLARS ($32,336) unless the performance of <br />services and/or reimbursement of costs and expenses in excess of said amounts have <br />been approved in advance of performing such services or incurring such costs and <br />expenses by City's City Council, evidenced by motion duly made and carried. <br /> <br />F:Atty/Agr/Agr. 028 <br />042202 <br /> 1 <br /> <br /> <br />
