cumulative and in addition to all other rights and remedies which may accrue under this Agreement. <br /> 17. Additional Actions to Implement Agreement. <br /> <br /> The parties acknowledge that it is impractical in a transaction of the nature set forth in this <br />Agreement to provide for, or anticipate, every action by County, City or District that may be required to <br />fully implement the Agreement. County, City and District agree to cooperate in good faith, and to take <br /> <br />any such additional actions that may be necessary to fully implement the Agreement. <br /> 18. Time of the Essence. <br /> <br /> Time is of the essence in the performance of the terms and conditions of this Agreement. <br /> <br /> 19. Successors. <br /> <br /> This Agreement shall be binding upon and shall inure to the benefit of the respective successors <br /> <br />or assigns of the parties hereto. <br /> 20. Counterparts. <br /> <br /> This Agreement may be executed in counterparts, each of which shall be deemed an original. <br /> 21. Term and termination. <br /> <br /> This agreement shall remain in full force for ten (10) years from the date it is fully executed, and <br />any or all parties' participation may only be terminated by written agreement of all parties. After <br />expiration of the ten (10) year term, this Agreement shall be automatically extended for successive one <br />(1) year periods unless any one of the parties delivers a notice in writing to the other two parties <br />indicating its intent to terminate the Agreement at the next following anniversary date of the Agreement; <br />provided that no such termination notice shall be effective unless it is actually received by the receiving <br />parties at least one hundred eighty (180) days before the next succeeding anniversary date of the <br />Agreement. <br /> <br /> The only other instances in which one party may terminate its involvement are: <br /> <br /> a. pursuant to the "default" provisions of this Agreement, <br /> 9 <br /> <br /> <br />
