BOX 391 <br /> 1017 MIDDLEFIELD ROAD <br /> REDWOOD CITY, CA 94064 <br /> <br /> FOURTH AMENDMENT TO <br /> DEVELOPMENT AGREEMENT <br /> <br /> This FOURTH AMENDMENT TO DEVELOPMENT AGREEMENT <br />("Agreement") is entered into as of this ___day of June, 2002. by and between REDWOOD <br />SHORES PROPERTIES, a California general partnership ("RSP"), and the CITY OF <br />REDWOOD CITY, a municipal corporation of the State of California ("City"), for itself and for <br />and on behalf of the REDWOOD CITY GENERAL ! M PROVEMENT DISTRICT NO. 1-64 <br />("District"). <br /> <br /> RECITALS <br /> <br /> A. Redwood Shores. Inc., a California corporation ("Redwood Shores"), the City and the <br />District entered into that certain Development Agreement GID 1-64 dated June 16. 1982 <br />("Development Agreement"), which Development Agreement was recorded on July 8, 1982, as <br />Document No. 82057195 in the Official Records of San Mateo, California ("Official Records"). <br />The real property which is subject to the Development Agreement includes all that real property <br />owned by Redwood Shores as of the effective date of the Development Agreement and located <br />within those areas designated as Redwood Peninsula Areas A through I, inclusive. The <br />Development Agreement was amended by that certain Amendment to Development Agreement <br />GID 1-64 between the City, the District and Redwood Shores dated May 22. 1984 and recorded <br />September 17, 1984 as Document No. 84101669 in the Official Records (the "First <br />Amendment"), was further amended by that certain Second Amendment to Development <br />Agreement between the City, the District, Redwood Shores and RSP dated June 19, 1990 and <br />recorded June 19, 1990 as Document No. 90082412 in the Official Records (the "Second <br />Amendment"), and was further amended by that certain Third Amendment to Development <br />Agreement between the City, the District and RSP dated September 3, 1997 and recorded on <br />September 25, 1997 as Document No. 97122586 in the Official Records. (The Development <br />Agreement as amended to date, including the First Amendment, the Second Amendment and the <br />Third Amendment, is hereinafter collectively referred to as the "Amended Development <br />Agreement.") Terms defined in the Amended Development Agreement shall have the same <br />meaning when used in this Agreement unless otherwise indicated. <br /> <br /> B.
