<br />ORIGINAL <br /> <br />AMENDMENT NO.3 TO EXTEND THE AGREEMENT FOR <br />Revenue Enhancement Services <br />MuniServices, LLC <br /> <br />This Amendment No. 3 is entered into and effective as of the X4 day of <br />tjarJL, 2008, extending the agreement dated March 2, 2005 (the "Agreement") by and <br />between the City of Redwood City, a charter city and municipal corporation of the State <br />of California ("City"), and MuniServices, LLC a Delaware limited liability company <br />("Consultant") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. On March 24, 2006, the Parties executed Amendment No. 1 to the <br />Agreement to extend the term of the Agreement for an additional year ending on March <br />2,2007; and <br /> <br />B. On March 2, 2007, the Parties executed Amendment No.2 to the Agreement <br />to extend the term of the Agreement for an additional year ending on March 2, 2008; <br />and <br /> <br />C. The Parties desire to extend the Agreement for a period of one year ending <br />on March 2, 2009; and <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. The Agreement, as may have been amended from time to time, is hereby <br />extended for a period of one year ending on March 2, 2009. <br /> <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, shall remain in full force and effect. <br /> <br />3. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, shall include <br />coverage for this Amendment. <br /> <br />4. The individuals executing this Amendment and the instruments referenced <br />on behalf of Consultant each represent and warrant that they have the legal power, right <br />and actual authority to bind Consultant to the terms and conditions hereof of this <br />Amendment. <br /> <br />Amendment to Extend Time <br />City Attorney Approved Version 090103 <br />
