Indemnification SUHSD agrees to indemnify, defend and hold hannless the City of Redwood City, its officers, agents and employees from any and all claims, losses, damages and liability suffered or incurred by reason of any acts or omissions of the SUHSD, its officers, agents and employees in the performance of this Agreement. Contractor agrees to indemnify, defend and hold hannless SIJHSD, its officers, agents and employees from any and all claims, losses, damages and liability suffered or incurred by reason of any acts or omissions of the Contract, its officers, agents and employees in the performance of this Agreement. 7. Dispute Resolution Should any dispute arise out of this Agreement, the parties should meet in mediation and attempt to reach a resolution with the assistance of a mutually acceptable mediator. The costs of the mediator, if any, shall be paid for by the School District. If a mediated settlement is reached, neither party shall be the prevailing party for the purposes of this settlement. Neither party shall be permitted to file legal action without first meeting in mediation and maintaining a good faith attempt to reach a mediated resolution. Each party will bear it's own attorney fees. � 8. Compensation The Contractor agrees to perform all of the services of this Agreement for a sum not to exceed$36,657.31, for 2003-04, and $55,978.57 for 2004-05. The Contractor will match this same amount to pay to the officer. 9. Payment Contractor shall submit an invoice detailing the services performed during the billing period. SLTHSD shall make a one-time payment of$36,657.31 for 2003-04, and $55,978.57 for 2004-05. In no event shall SUHSD's total fiscal obligation under this V contract exceed$36,657.31 for 2003-04 and $55,978.57 for 2004-05. _ 10. Term of Agreement The term of this agreement is from September 2, 2003 through June 17, 2005. 2
