<br />ORIGINAL <br /> <br />AMENDMENT NO.5 TO AMEND AGREEMENT FOR <br />PROFESSIONAL PLANNING AND REDEVELOPMENT CONSULTING SERVICES <br />(KEYSER MARSTON ASSOCIATES, INC.) <br /> <br />This Amendment No. 5 is entered into and effective as of th.e~ day of October, <br />2009, amending the Agreement dated July 8, 1999 (the "Agreem~by and between <br />the REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY, a public body, <br />corporate and politic, duly organized and existing under the laws of the State of <br />California (the "Agency"), and KEYSER MARSTON ASSOCIATES, 'INC. ("Contractor") <br />(collectively the "Parties") for professional planning and redevelopment consulting <br />services. <br /> <br />RECITALS <br /> <br />A. On January 16, 2002, the Parties .executed Amendment No. 1 in the <br />amount of $100,000.00 to the Agreement; and <br /> <br />B. On October 13, 2004, the Parties executed Amendment No. 2 in the <br />amount of $100,000.00 to the Agreement; and <br /> <br />C. On April 12, 2007, the Parties executed Amendment NO.3 in the amount <br />of $60,000.00 to the Agreement; and <br /> <br />D. On September 14, 2009, the Parties executed Amendment NO.4 in the <br />amount of $60,000.00 to the Agreement, Contractor has performed the services under <br />the Agreement to the satisfaction of the Agency; and <br /> <br />E. The Agency continues to require Contractor's professional services; and <br /> <br />F. The Parties desire to amend the Agreement to amend the hourly fee <br />schedule of rates to be charged for the preparation of the five year implementation plan <br />and Mid-term update (the "Redevelopment Plan Adoption Services"). <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. The Agreement is hereby amended to reflect the Hourly Fee schedule <br />applicable to preparation of the five year implementation plan and Mid-term update (the <br />"Redevelopment Implementation Plan Services"), attached hereto and incorporated <br />herein as Exhibit "C". <br /> <br />2. The services undertaken in. connection with the Redevelopment Plan <br />Adoption Services will be provided for a not-to-exceed amount of $22,000.
