<br />ORIGINAL <br /> <br />MEMORANDUM OF UNDERSTANDING BETWEEN THE <br />SAN MATEO COUNTY HISTORICAL ASSOCIATION AND THE CITY OF REDWOOD <br />CITY <br />(Solari Windmill) <br /> <br />/~ This Memorandum of Understanding ("MOU") is entered this~ day of <br />~ ~. ,2005 ("Effective Date"), by and between the San Mateo County Historical <br />Association, a not for profit corporation organized under the laws of the State of California <br />("Association"), and the City of Redwood City, a charter city and municipal corporation <br />of the State of California ("City") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />WHEREAS, the Solari Windmill ("Windmill") was originally located near <br />Woodside Road and Middlefield Road in Redwood City, California and relocated a <br />number of years ago to a location on the Garfield School campus; and <br /> <br />WHEREAS" when the City developed the Garfield School field in 2000, the <br />Windmill was relocated to the City of Redwood City Municipal Service Center yard <br />where it remains today; and <br /> <br />WHEREAS, the Windmill is currently in disrepair; and <br /> <br />WHEREAS, the Association has the expertise to assist in the renovation and <br />restoration of the Windmill; and <br /> <br />WHEREAS, the Parties desire to see the Windmill renovated and restored and <br />have agreed to accomplish these goals according to the following terms and conditions. <br /> <br />NOW, THEREFORE, IT IS HEREBY AGREED by the Parties as follows: <br /> <br />1. Responsibilities of the Association. The Association will coordinate and <br />manage the restoration of the Windmill, which will be completed in a timely manner. The <br />Association's efforts in this regard will include, but not be limited to, fundraising, <br />volunteer recruitment, physical reconstruction and preparation of a list of potential sites <br />upon which to locate the Windmill. Once complete and sited, a plaque (the "Plaque") is <br />to be placed honoring Jean Cloud for saving the Windmill. The cost of the Plaque is to <br />come from those funds contributed by the City and referenced in Paragraph 2, below. <br /> <br />2. Responsibilities of the City. Upon execution of this MOU, City will deliver <br />all acquired windmill parts and components in its possession to the Association on a <br />date and time convenient to the Parties. City will also contribute a not to exceed lump <br />sum of thirty thousand dollars ($30,000) in Capital Program Funds along with two <br />thousand three hundred fifteen dollars and fifteen cents ($2,315.15) in private <br />community donations to the Association for the sole and exclusive purpose of restoring <br /> <br />Atty/Agr/2005.002 <br />013105 <br />
