B. City is authorized to receive money on behalf of the Redwood City 2000 Community Action and Resource Council and deposit same into a special deposit account in the City's General Fund. The money received on behalf of the Redwood City 2000 Community Action and Resource Council shall be disbursed as requested by the Redwood City 2000 Community Action and Resou:'ce Council, Project Executive Director in writing, subject to administrative procedures of City. C. At no time shall the City be under any obligation to disburse money to the Redwood City 2000 Community Action and Resource Council in excess of the amount on deposit. The Committee acknowledges that money received by the City will not be available for disbursement for three (3) business days ,Ifter the funds have been deposited by City, or for a longer period, as deemed appropriate, by City's Finance Director. 8. HOLD HARMLESS. Each party hereto ("indemnitor") hereby agrees to defend, indemnify, and save harmless each other party and its respective governing board, council, officers, boards commissions, agents, and employees (collectively, "Indemnitees") against and from any and all claims, suits, actions of every name, kind and description, which may be brought against indemnitees, or any of them, b) reason of any injury to, or death of, any person (including corporations, partnerships and associations) or damage suffered or sustained by any such person arising from, or alleged to have arisen from, any act or omission to act, negligent or otherwise, of indemnitees, its officers, agents or employees under this Agreement. 9. ACTS AND OMISSIONS OF EXECUTIVE DIRECTOR. The acts and omissions of the Executive Director and Assistant Project Administrator shall not in any way be construed as the acts and omissions of the City but shal I be construed, if at all, as the joint acts and omissions of the Parties. 6
