<br />Section 20. <br /> <br />Entire Agreement. <br /> <br />This Cooperative Agreement, together with any other written document referred to or <br />contemplated by it, embodies the entire agreement and understanding between the Parties <br />relating to the subject matter of it. Neither the Cooperative Agreement nor any of its provisions <br />may be amended, modified, waived or discharged except in a writing signed by the Parties. <br /> <br />Section 21. <br /> <br />Incorporation of Exhibits. <br /> <br />Each Exhibit referenced in this Cooperative Agreement shall be deemed incorporated <br />herein by reference. <br /> <br />Section 22. <br /> <br />No Presumption Against Drafter. <br /> <br />Both of the Parties were fully represented by counsel and participated in the drafting of <br />this Cooperative Agreement, and, accordingly no presumption shall be applied against either <br />Party concerning the interpretation of this Cooperative Agreement on the basis that said Party is <br />the drafter hereof. <br /> <br />Section 23. <br /> <br />Execution of Counterparts. <br /> <br />The Parties may execute counterparts of this Cooperative Agreement, which taken <br />together shall be considered one and the same agreement. <br /> <br />[Signatures appear on following page] <br /> <br />REDW\0007\DOC\001-12 DRAFT 12 <br />4/22/053:45/md <br /> <br />15 <br /> <br />""""""""-""'-"-"'-"'T" <br />
