Delivery Date, RevIew, Costs; Payment Schedule, Ucense <br /> <br />Delivery Date <br />If these terms are accepted and delivery of above items (outlined in Waterwise Gardening CD-ROM <br />Features) are provided in a timely manner, the delivery date for this custom Waterwise Gardening CD will <br />be no later than 9 months after contract signing. <br /> <br />Stages of Review (Each stage represents an opportunity for Redwood City to review work in progress and comment <br />for direction.) <br /> <br />1. Redwood City mailer art signoff <br />2. Beta software signoff (software is at least 90 percent operational) <br />3. Content signoff: Redwood City given review privileges for plant information and garden idea <br />photography. <br />4. Review of Master <br /> <br />Development and replication costs <br />CD-ROM Content Development Cost: $15,000 (One time charge). <br />CD Replication with 4 panel color mailer - $17,250 ($3.45 per unit 15,000 units). <br /> <br />See Bulk order pricing at the end of this document <br /> <br />CD replication costs do not include appropriate California Sales Tax and Shipping. Please add shipping <br />cost as $20 per box of 500 CDs with four panel mailers, and appropriate local sales tax. <br /> <br />Note: GardenSoft welcomes subsequent reorders of the CD-ROMS in 1,000 unit minimums at the same <br />per unit rate, <br /> <br />Payment Schedule <br />$5,000 due within 30 day of contract signing. <br />$5,000 due within 30 days of review of rough Beta (50 percent software operation, Main Menu <br />established incomplete data. This version will have garden images to choose from for Redwood City.) <br />$5,000 due within 30 days of acceptance of Master CD, used for replication <br />(Software and data complete) <br /> <br />CD replication payment: <br />Net 30 days of delivery of the CD-ROMs. <br />License <br />The Software provided on the CD-ROMs is proprietary. It is owned by GardenSoft and cannot <br />be copied, distributed or manufactured in any way without written expressed permission of <br />GardenSoft. GardenSoft maintains all copyright privileges over its own software. This license <br />entitles the City of Redwood City exclusive rights over the distribution of this software. It also <br />guarantees the price structure found at the end of exhibit A.
