RECITALS CDS is a nonprofit corporation, organizeci and existing under Section 9201 of the Corporations Gode of the State of Galifornia, composed of members Ucensed to practice dentistry under the provisions cd the Dental Practice Act. It is the purpose cd CDS to provide dental care under programs with responsible entities so as to maintain the prime requisites cd an independent and responsible proSession, i.e., fee for services, free choice of dentists and preservation of dentist- patient relationship without lay controls interference, promotion or commercialization. GENERAL AGREEMENTS 1. Employer agrees~ (a) To compile, certify and furnish to GDS on or prior to the first of every month com~nencing on the commencement date cd the term of this Agreement~ a LIST OF ALL ELIGIBLE EMPLOYEES AND THEIR 5OGIAL SEGURITY NUMBERS entitled to receive dental benefits hereunder. Eligible employees shall be determined according to the Eligibility Rules - Appendix "A"~ attached hereto. (b) To p~y CDS monttdy, commencin& oa the eHective date of the term cd this Agreement, and on or beEore the 5irst day o~ each succeeding month, the monthly payment specified in Section 1-A of the AppUcation for Dental Care Service Agreement. (c) To provide each eligible employee with a copy of the Evidence of Coverage furnished to Employer by CDS and to disseminate all notices delivered by CDS to Employer alfecting the rights cd such employee under gals Agreement within a reasonable time but in no event later than 72 hours alter receipt. (d) To advise eligible employees to notify their dentist at the time ot their iirst appointment that they are covered by this Agreement and to provide their ci~qtist with group identification and social security number. (e) To permit GDS~ by its auditors or other authorized representatives, on reasonable advance written notice, to inspect records cd Employer in order to verify the accuracy cd lists cd eligible employees prepared by Employer and submitted to CDS. 2.
