APPENDIX "D" <br /> <br /> RETENTION AGREEMENT <br /> <br />1. In addition to amounts, if any, withheld by CDS from payments to dentists as=rovided in CDS Participating Dentist Rules, <br /> CDS is authorized to deduct from each monthly payment by Applicant to CDS ]-]- · 4 % in order to compensate it for their <br /> administration of the dental program provided hereby, In the event that any governmental unit shall impose any new tax or <br /> assessment not now in effect, which is measured directly by the payments made to CDS by Applicant pursuant to the within <br /> Contract and similar payments by others, or in the event that the rate of any such tax or assessment now in effect should <br /> hereafter be increased, the amount which CDS is authorized to deduct pursuant to this paragraph shall be increased by the <br /> amount of such new tax or assessment which is directly applicable to such payment by Applicant under this Contract and by <br /> the additional amounts directly applicable to such payments by Applicant which result from any such increase in an existing <br /> tax or assessment. <br /> <br />2. CDS shall return to Applicant after the end of the Contract Term monies remaining, if any, after payment or other discharge <br /> of current bills for services, less a reasonable reserve for incurred but unreported obligations. Such reserve shall be held for a <br /> period of one year, at which time any remaining monies shall be returned to Applicant. For purposes of computation of <br /> amounts payable hereunder, amounts, if any, withheld from payments to Participating Dentists by CDS for its reserves, <br /> research or other purposes deemed proper by the governing board of CDS shall be deemed to have been paid by CDS in dis- <br /> charge of the claims of such Dentist. <br /> <br /> 11-77 RET -- RA <br /> <br /> <br />
