AGency to Administer Aoreement. ~c established by this <br /> a~ree~ent, Bay Area Water Aqe~c~"is hereby designated as a <br /> public entity separate from the members thereof, and as the <br /> entity tc administer this agreement. <br /> <br />3. Powers of Aqencs. Thp Aqency shall have the power to carry out <br /> its purposes and'functions, includino the followinq. <br /> <br /> To investigate, study, formulate plans and recommendations, <br /> initiate legislative measures and negotiate with other entities <br /> on the obtainino of water for wholesale distribution. <br /> <br /> The Agency shall have the power, in its own name, to sue or be <br /> sued; to make and enter into contracts; to designate, appoint <br /> and employ officers, agents and employees; to acquire, hold, or <br /> dispose of property; apply for grant or grants under any <br /> availabl~ Federal or State Program; and to incur debts, <br /> liabilities or obligations necessary for the accomplishment of <br /> the power and purposes herein set forth. The exercise by the <br /> Agency of the power to sue or be sued in its own name shall be <br /> subject to the restrictions on the exercise of such power <br /> applicable to California general law cities. <br /> <br /> Any of the above actions or commitments on the part of the <br /> AGency shall first be approved by a two-thirds vote of the Board <br /> of Directors as then constituted. <br /> <br /> 4. Contributions and Pa,yments. rnntributions in the form of <br /> membership assessments shall be made by the parties of to <br /> this aoreement from the treasuries or other available,public <br /> funds of tl~e parties for the purpose of defrayino the costs <br /> and expenses of the Aqency in providinq the benefits accruino <br /> directly to each of the parties hereto.
