8. Obliaations of Aaencv. The Agency, being an independent public entity, 'shal'~'be solely responsible for the debts liabilities and obliqations of the Agency, which debts, liabilities and obligations shall not be the debts, liabilities or obligations of the parties hereto. 9. Amendment. This AGreement may be amended at any time by a majorlt~ vote at a Board of Directors meetinQ after thirty days notice to the member agencies of proposed amendments. 10. Duration of Aareement. This aareement shall continue in effect sc lonq as ~ra~t moneys are unexpended and until it is rescinded at a board of directors meetinQ after thirty days notice to the member agencies. This agreement shall not be terminated by the withdrawal from membership of individual parties to the agreement. 11. Disposition of.P?op.ert~ Upon Termination. ~uld this aqreement be terminated any property acquired by the Aqency pursuant to the agreement shall be distributed amonQ the parties hereto in accordance with the respective contributions of each of said parties to the cost of said property. 12. Disposition of Funds U on Termination. Upon termination of this a~reement any monies in the possession of the Agency, after the payment of all costs, expenses and charges incurred under the agreement, shall be returned to the parties in proportion to their contributions determined as of the time of such termination. 13. Termination. Any party shall be entitled to withdraw from the Aqency upon written notice to the Board of Directors. A withdrawinq party's rights and obligations shall be as . follows: All riqhts and privileqes associated with membership in the Agency shall terminate upon withdrawal. All financial obligation~ and contractual commitments will continue until such time as they are fully paid or discharged.
