DES:mmg n6/08/89 (#40/026) <br /> <br /> 6. TITLE TO WORK. Harris agrees that~fts work produe~ in <br />accomplishing each Task Order shall be the property of City and <br />further agrees to relinquish to Counsel, upon completion of each <br />Task Order or upon termination of this Agreement, whichever shall <br />apply, all related documents, files and other materials. Counsel <br />shall have access to, and the right to inspect Harris' work <br />product and supporting information at any reasonable time during <br />the progress of work under each Task Order. Harris understands <br />that City may retain services of other professional consultants <br />relating to the Project and/or claims pertaining thereto and, <br />therefore, Harris shall cooperate with the efforts of such <br />consultants. <br /> <br /> 7. NON-ASSIGNABILITY. Harris shall not assign or permit <br />the assignment by operation of law or otherwise this contract or <br />any portion of its services without prior written consent of the <br />City. The City may grant or withhold such consent at its sole <br />discretion. <br /> <br /> W~nere the City has consented to an assignment, this <br />Agreement shall be binding upon Harris and the heirs, executors, <br />administrators, successors and assigns of all parties. <br /> <br /> 8. INDEMNIFICATION. Harris shall indemnify and save and <br />hold City, its elected officials, officers, agents, and employees <br />harmless from any and all claims or causes of action for death or <br />injury to persons, or damage to property resulting from <br />intentional or negligent acts, errors, or omissions of itself or <br />its employees, subconsultants, and all others acting for or on <br />behalf of Harris during its performance under this Agreement. <br /> <br /> 5 <br /> <br /> <br />
